Aptiviti, Inc. (“Aptiviti”) operates etr.ai, app.etr.ai and the ETR+ web application. The assets, platforms, software, data, reports, research, design assets and content housed on ETR+ are copyrighted work belonging to Aptiviti.
We offer access to ETR+ conditioned on your acceptance without modification of the terms, conditions, and notices contained herein (collectively, “Terms”) and the Privacy Policy available on this site.
Acceptance of Terms
By accessing ETR+, you are agreeing to be bound by these Terms, all applicable laws and regulations, and agree that you are responsible for compliance with any applicable local laws. If you do not agree with any of these Terms, do not use ETR+. The materials contained on ETR+ are protected by applicable copyright and trademark law.
Use License
The content on ETR+ is for your own internal information purposes, and not for commercial or external use. Under this limited use license you may not modify or copy the materials; reproduce, duplicate, sell or resell the materials; use the materials for any commercial purpose or for any public display (commercial or non-commercial); attempt to decompile or reverse engineer any software or services contained on ETR+; remove any copyright or other proprietary notations from the materials; or transfer the materials to another person or “mirror” the materials on any other server. This license shall automatically terminate if you violate any of these restrictions and may be terminated by Aptiviti at any time for any reason in its sole discretion. This license is not transferrable to a third party. Aptiviti remains the sole owner of all content on ETR+.
Disclaimer
The materials on ETR+ are provided “as is”. Aptiviti makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties, including without limitation, implied warranties or conditions of merchantability and fitness for a particular purpose. Further, ETR+ does not warrant or make any representations concerning the accuracy, likely results, or reliability of the use of the materials on its site or otherwise relating to such materials or on any sites linked to this site.
The contents of ETR+, such as text, graphics, reports, images, information obtained from ETR+’s licensors, and other material contained on ETR+, including all services, (“Content”) are for informational purposes only.
Aptiviti represents that the content on ETR+ will not contain any information that may be construed as material, non-public information or “inside information” (within the meaning of U.S. federal securities laws) regarding a company or information Aptiviti is otherwise bound to keep confidential for any reason, including, for example, trade secrets, information obtained under the terms of a confidentiality agreement, information obtained pursuant to an employment relationship or other consulting relationship, or information Aptiviti is bound to keep confidential due to a fiduciary duty or similar obligation. Aptiviti represents that its services shall be in compliance with all applicable laws, including but not limited to the laws against insider trading and any laws governing the manner in which electronic data can be obtained.
Limitations
The use of ETR+ and the services is at your own risk. In no event shall Aptiviti or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption,) arising out of the use or inability to use the materials on ETR+, even if Aptiviti or a ETR+ authorized representative has been notified orally or in writing of the possibility of such damage.
Indemnification
You agree to indemnify, defend, and hold us harmless from and against all losses, expenses, damages and costs, including reasonable attorneys’ fees, resulting from any violation by you of these Terms and/or your use of ETR+.
Revisions and Errata
The materials appearing on ETR+ could include technical, typographical, or photographic errors. Aptiviti does not warrant that any of the materials on its site are accurate, complete, or current. Aptiviti may make changes to the materials contained on its site at any time without notice. Aptiviti does not, however, make any commitment to update the materials.
Third-Party Links
Aptiviti has not reviewed all of the websites linked to or from its site and is not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement by Aptiviti of the site. Use of any such linked website is at the user’s own risk.
Modification of these Terms
Aptiviti may revise these Terms at any time without notice. By using ETR+ you are agreeing to be bound by the then current version of these Terms.
Restrictions
Those who choose to access ETR+ from locations outside of the United States of America do so on their own initiative and risk and are responsible for compliance with applicable local laws. You may not use or export any Content in violation of U.S. export laws and regulations.
Governing Law
Any claim relating to ETR+ shall be governed by the laws of the State of New York without regard to its conflict of law provisions. Except as specified herein, any disputes directly or indirectly arising out of or relating to the Terms or ETR+ will be resolved exclusively in the state or federal courts located in New York, New York. You hereby irrevocably consent to such venue and to the exclusive jurisdiction of any such court over any such dispute.
